Terms of Service

1. Acceptance of Terms

By accessing or using the American Software Group (“ASG”) platform, website, mobile applications, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

ASG reserves the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this minimum age requirement and have the legal capacity to enter into a binding agreement.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify ASG immediately of any unauthorized use of your account. ASG is not liable for losses resulting from unauthorized account access caused by your failure to secure your credentials.

User accounts are available in three types: Job Seeker, Employer/Recruiter, and Trainer/Partner. Each type has specific permissions and responsibilities as described in the Service documentation.

4. AI Features and Accuracy

ASG provides AI-powered features including resume building, ATS scoring, mock interview practice, and candidate matching. These features are provided “as is” and ASG makes no guarantees about the accuracy, completeness, or fitness for purpose of AI-generated outputs.

You acknowledge that AI-generated content should be reviewed and verified before use in actual job applications, hiring decisions, or other consequential activities. ASG's Why Engine provides explanations but does not constitute professional career advice.

5. Auto-Apply Service

The Auto-Apply feature submits job applications on your behalf based on your stated preferences. By enabling Auto-Apply, you:

  • Consent to ASG submitting applications on your behalf
  • Acknowledge that employers will receive your profile and resume
  • Understand you can revoke consent at any time from your dashboard
  • Agree that ASG is not responsible for application outcomes

A full audit log of all auto-apply actions is available in your account settings.

6. Employer Obligations

Employers using ASG agree to:

  • Post only genuine job opportunities
  • Not discriminate in hiring on the basis of race, gender, age, religion, national origin, disability, or other protected characteristics
  • Handle candidate data in compliance with applicable privacy laws (GDPR, CCPA, PIPEDA)
  • Not use candidate data for purposes other than recruitment
  • Promptly notify candidates of hiring decisions

7. Trainer/Partner Obligations

Trainers and partners agree to provide accurate, lawful course content, honor stated enrollment terms, and comply with ASG's content standards. Revenue share arrangements are governed by separate partner agreements.

8. Prohibited Uses

You may not use the Service to:

  • Post false, misleading, or fraudulent content
  • Scrape, harvest, or extract data from the platform
  • Circumvent security or access controls
  • Impersonate another person or entity
  • Violate any applicable laws or regulations
  • Send unsolicited communications to other users

9. Subscriptions and Billing

Paid subscriptions are billed in advance on a monthly or annual basis. Subscriptions automatically renew unless cancelled. Refunds are available within 7 days of the initial subscription purchase for annual plans. Monthly plans are non-refundable after the billing period begins.

ASG uses Stripe for payment processing. By subscribing, you authorize ASG to charge your payment method on a recurring basis.

10. Limitation of Liability

To the maximum extent permitted by law, ASG's total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to ASG in the twelve months preceding the claim.

ASG is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost opportunities, or career outcomes.

11. Governing Law

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration in St. Louis, Missouri, except where prohibited by law.
